Corporate General Attorney Job Description

'The General Corporate practice area covers advice given to corporations and their officers, directors, and controlling shareholders. Attorneys in this practice oversee the formation, governance, and day-to-day legal problems of corporate entities. Their advice can also involve board conduct, executive compensation, shareholder agreements that involve board representation and voting rights, federal and state regulations compliance that affects the client’s particular industry, commercial contracts with the corporation’s customers and suppliers, the sale of corporate of securities; communications with accountants, commercial bank lenders, investment bankers, stockholders, creditors and customers, proxy statements sent to stockholders as well as the preparation of any disclosure filings with the SEC.
