Job Title:
Associate – Executive Compensation & Benefits
Job Responsibilities:
- Provide legal advice to public and private employers, including start-ups, on a variety of executive compensation and benefits matters.
- Focus on mergers and acquisitions, including Section 280G analysis, financings, and initial public offerings.
- Advise on executive hires and terminations, stock compensation plans, award agreements, and nonqualified deferred compensation (Section 409A).
- Ensure compliance with general ERISA and group benefits, as well as public company reporting and disclosure obligations.
- Collaborate with attorneys both locally and across the law firm to deliver exceptional client service in a fast-paced environment.
- Demonstrate flexibility and commitment by working extended hours when needed to meet project deadlines and business demands.
- Communicate effectively, both orally and in writing, with law firm clients on a wide range of highly sophisticated transactions.
Education and Experience Information:
- Juris Doctor (JD) or foreign equivalent; an LLM will be considered in lieu of a JD.
- 2-3 years of experience in executive compensation and benefits matters.
- Prior or current experience at an Am Law 100 firm.
- Excellent academic credentials.
- Exceptional analytical, research, and legal writing skills.
- Outstanding interpersonal and communication abilities.
- Thorough understanding of professional ethics and conduct codes applicable to legal practice.
- Admission to and good standing with the bar in the jurisdiction(s) where you will practice.
Salary Information:
- California Pay range for this role, with final offer amount dependent on skillset and experience, is $235k - $260k.
