Job Title: Paralegal, Legal Affairs
Job Responsibilities:
As a member of the Corporate Secretary’s Office at company, the Paralegal in Legal Affairs will provide essential legal assistance and operational support. The role encompasses a variety of responsibilities, including:
- Assisting with governance functions, which involve maintaining minute books, agendas, corporate seals, stock certificates, officer and director rosters, signatory rosters, and corporate registrations and filings.
- Aiding in the preparation and distribution of materials for board and shareholder meetings, such as notices, agendas, resolutions, and meeting minutes.
- Preparing officer certificates, powers of attorney, contracts, and other corporate documents for signature, and obtaining necessary signatures from company executives.
- Supporting governance and regulatory compliance, reporting, and filing requirements, including NYSE notifications and Section 16 filings (Forms 3, 4, and 5 and Form 144), as well as managing company policies owned by the Corporate Secretary’s Office.
- Recognizing and appropriately escalating significant matters.
- Providing support to CSO attorneys and other internal stakeholders as needed.
- Assisting in the preparation of the proxy statement and annual meeting of shareholders.
Education and Experience Information:
- Prior experience in corporate governance or securities law at a public company or law firm is required.
- Experience in supporting board and committee meetings, minutes, and resolutions is preferred.
- A Bachelor’s degree with a strong academic record is necessary.
- High-level administrative and organizational skills, including excellent spoken and written communication abilities, are essential.
- Demonstrated ability to work under pressure with a sense of urgency, manage multiple tasks, and prioritize effectively.
- Capability to interact effectively and diplomatically with all levels of management across the organization is required.
- Ability to work effectively in a complex environment with a high degree of collaboration.
- Must be able to work within a team environment or independently, as required.
- Strong proficiency with a wide array of software, online systems, and collaboration tools, including MS Word, Outlook, and Excel, is required.
- Notary public certification or the ability to become a notary is necessary.
- Experience with Computershare Section 16 Filer Manager, PowerPoint, Ariba, and Concur is preferred.
Salary Information:
The expected salary range for this position is $55, to $105, annually. This includes potential bonuses and benefits. The final compensation will be determined based on location, experience, and other job-related factors.
