Become a Corporate Paralegal

The field of law has always been a very popular career choice. Those who aspire to become corporate paralegals are responsible for the creation of business entities, and implementation of business transactions like that of stock offerings and mergers. The corporate paralegals are also required to protect the intellectual property rights.

The responsibilities of a corporate paralegal involve protecting copyrights, Patents and trademarks. Among the functions performed by the paralegals, some of the prominent ones are preparing drafts of partnership, corporate arrangement credentials, preparation of board meetings, conduct of copyright and trademark searches, carrying out due conscientiousness for trade dealings, helping preparation of annual financial reports, preparing draft investor agreements and stock-option plans, fulfilling securities coverage necessities, maintaining business minute books and resolutions, monitoring and reviewing management regulations to guarantee legal business function.

The corporate paralegals most of the times are delegated responsibility of conducting researches, preparation of court documents, furnishing the lawyers with clientele information. Since the large organizations do not have the necessary time to carry out these functions, they rest on the corporate paralegals to carry out these functions. The requirements of the job however vary according to the qualification and work experience of the paralegal. The corporate paralegals are however restricted from practicing laws like that of the attorneys or advocates. The paralegals are not capable of presenting cases in the law courts or offer legal advice.

The corporate paralegals can assist the corporate lawyers while preparing drafts of contracts and legal credentials. The corporate paralegals handle most of the research works, paper works and planning. They are required to complete formal education which should be equivalent to an associate's degree. The law students take about 2 to 4 years to complete this formal education. In accordance with the Bureau of Labor Statistics, the private law firms employ 7 out of 10 legal assistants and paralegals. The rest of paralegals worked for corporations in lawful departments or in civic sector of administration. A knowledgeable business paralegals functioning with huge officially permitted departments may take on organizational roles, and leading a team of paralegals on different projects.

A corporate paralegal may assist in development of employee contracts or negotiate benefits with the employees. The task of preparing of credentials and reports pertaining to tax forms, incorporation letters, or SEC filings also fall within the purview of the corporate paralegals. Apart from this, he is also responsible for monitoring regulations that are relevant to the employer and provide advice to the legal staffs in matters relating to the regulatory changes and the ways in which they should be complied with. The corporations are replacing lawyers with paralegals these days, as a result of which their responsibilities are increasing every day. The high charges of the lawyers, made it unbearable for the corporate to hire them. Some of the functions are summarized below:
