Job Title: Paralegal Corporate

Job Responsibilities:

The Corporate Paralegal will be responsible for providing legal support and paralegal services across a diverse range of corporate matters. The role primarily focuses on corporate governance, business transactions, and ideally, SEC compliance. While experience in Real Estate and/or Estate Planning is advantageous, it is not a mandatory requirement. The paralegal will engage in moderate to complex corporate legal matters, supporting special projects, and must exhibit discretion, strong organizational skills, and an ability to manage multiple tasks and deadlines in a fast-paced environment. Key responsibilities include:

- Managing a large volume of entity formations, state corporate filings (primarily in Florida and other jurisdictions), lien and litigation searches, and related documentation and agreements.
- Preparing and maintaining documents related to corporate governance, such as resolutions, meeting minutes, and maintenance of corporate records.
- Reviewing and analyzing due diligence materials and preparing disclosure schedules.
- Supporting attorneys with legal documentation for business transactions and related matters.
- Managing and maintaining corporate records and databases for partnerships, LLCs, and other entities.
- Arranging filings and service of documents with federal and state courts, government agencies, and other relevant parties concerning corporate transactions.
- Assisting with the preparation and organization of client materials and attorney work products using computer-based tools (., Microsoft Word, Excel, PowerPoint).
- Staying informed on state filing requirements and deadlines for business entities.

Essential Knowledge, Skills and Abilities:

The ideal candidate should be proficient in Microsoft Office (Word, Excel, PowerPoint) and capable of quickly learning other programs. Experience with iManage and Aderant is a plus. The candidate must possess excellent communication skills, both written and oral, along with strong organizational and administrative skills. Attention to detail, strong organizational and time management abilities, and a client service-oriented approach are crucial. The ability to multitask, prioritize tasks, and work under pressure to meet deadlines is essential. The role demands confidentiality and professionalism in handling sensitive information, with the ability to work extra hours as needed. Self-motivation and a positive attitude are also important traits for this position.

Education and Experience Information:

- A Bachelor’s degree is preferred but not required.
- A minimum of five (5) years of experience in a law firm setting is preferred, with a focus on Corporate law.
- Experience with E-Filing in Florida State and Federal courts is required.
- Experience with Real Estate and Estate Planning practice areas is a plus.
- Experience with SEC compliance and filings is a plus.
