Job Title: Senior Paralegal (Corporate)
Job Responsibilities:
The Senior Paralegal at the law firm will be responsible for a variety of tasks that support the firm's legal team, particularly in corporate, real estate, and transactional practice areas. Key responsibilities include:
- Handling the formation of business entities, obtaining Employer Identification Numbers (EINs), coordinating Uniform Commercial Code (UCC) searches, and applying for Bulk Sales Certificates and Certificates of Occupancy.
- Drafting and revising initial drafts of legal documents such as Letters of Intent, Employment Agreements, Operating Agreements, and Asset Purchase Agreements.
- Performing due diligence in collaboration with attorneys, which involves collecting and evaluating due diligence materials related to business and real estate transactions.
- Supporting the closing of transactions by preparing exhibits and schedules, coordinating logistical matters, and managing the execution and delivery of signature pages and notarization of documents for closings and leases.
Education and Experience Information:
Candidates for the Senior Paralegal position should possess the following qualifications:
- A minimum of 5 years of experience as a paralegal, with a preference for experience in the healthcare and dental industries.
- A bright, motivated, and quick-learning demeanor, ready to tackle challenging tasks.
- A bachelor’s degree or paralegal certification is required.
Salary Information:
The compensation for the Senior Paralegal position is highly competitive and commensurate with the candidate's experience. The benefits package includes a matching 401K, health insurance, and paid time off.
This position is a full-time role, requiring 40 hours per week from Monday to Friday, based in the Philadelphia office of the law firm. The firm offers a collaborative environment where the Senior Paralegal will work independently and as a key member of the legal team, closely interacting with experienced attorneys and paralegals. The role also involves direct communication with clients and acting as a liaison between attorneys and third parties such as Certified Public Accountants (CPAs), lenders, and brokers.
