Job Title: Corporate Paralegal
Job Responsibilities:
The corporate paralegal will support the corporate legal team in handling US securities laws and other regulatory filings. The role involves drafting and research across the corporate legal function, managing legal aspects of special projects, driving process improvements, and overseeing certain administrative functions. The paralegal will report to the Senior Corporate Paralegal and collaborate with individuals both inside and outside the legal department. Key responsibilities include:
- Securities law filings such as Form 10-K, Form 10-Q, Form 4, and Form 144
- Entity management, including the formation of corporate entities and maintenance of parent and subsidiary organizational charts and full corporate records
- Corporate secretarial tasks
- Managing equity compensation plans
- Handling due diligence and KYC requests
- Participating in special projects
- Assisting with other corporate and compliance tasks as needed
Education and Experience Information:
The candidate must possess a bachelor’s degree and have at least three years of experience as a paralegal or in a legal operations or administrative role. Familiarity with G Suite, Adobe Acrobat, and DocuSign is required. The ability to draft basic documents such as powers of attorney, letters, filings, and certificates is essential. The candidate should have superb organizational skills and the ability to handle and prioritize multiple assignments with various timelines. Excellent project management skills are necessary, with the ability to identify issues, collaborate across legal and non-legal teams, and drive projects to completion.
Additional preferred qualifications include:
- Being a public notary
- Experience managing international corporate organizational structures and documents
- Experience with Workiva and Entity Management Software
- Experience with KYC requests
Salary Information:
The reasonably estimated yearly salary for this role at the company is between $85,000 and $115,000 USD.
