Senior Corporate Paralegal - Capital Markets The candidate will be performing basic public company governance tasks, such as Section 16 reporting and Rule 144 and 701 legend removal letters. Assisting with D&O Questionnaires, annual and quarterly reports, and proxy statements. Assisting in preparing registration statement, including beneficial ownership table and back-half information of registration statement. Handling transfer agent onboarding and being the key contact for transfer agents. Preparing EDGAR Code and stock exchange applications, FINRA filings, CUSIP applications, stockholder documents, and board and shareholder actions. Compiling and distributing closing documents and closing volume. Assisting with the due diligence process. Helping with securities and state filings. Assisting with communications to clients and holders. Bachelor's Degree or Paralegal Certificate is required. Prior experience as a corporate paralegal is required. Strong working knowledge of corporate tasks of public companies is needed. Familiar with initial public offerings and special purpose acquisition companies is required. Experience with securities and corporate laws, especially the 33 Act and 34 Act is needed. Experience in capitalization management platforms such as Shareworks and Carta. Proficiency in Excel spreadsheets is required. Must be detail-oriented and organized, with excellent analytical skills. Excellent communication and prioritization skills to manage projects simultaneously under deadline pressure are needed.
