Job Title: Fund Formations Paralegal

Job Responsibilities:
The Fund Formations Paralegal will support attorneys in the Fund Formation & Investment Management practice group at a law firm. The primary responsibilities include:

- Assisting with private investment fund formation and related transactions, which involves forming funds and their affiliated entities such as limited partnerships and limited liability companies. This includes drafting and filing formation certificates, tax identification forms, elections, and initial governing agreements.
- Reviewing subscription agreements and managing the submission of investor-related documentation, including AML/KYC documentation and related tax forms.
- Analyzing federal and state securities laws exemptions from registration and preparing federal Form D and applicable state securities filings.
- Preparing and distributing closing sets to investors, attorneys, and clients.
- Facilitating the transfer process for private investment fund sponsors from inception to closing, including transfer intake process, drafting and reviewing transfer materials, managing the closure of transfers, handling invoices, and post-closing client recordkeeping.
- Managing annual and periodic filings for investment advisers to private investment funds.
- Supporting private fund investment transactions such as primary and secondary investments, organizing transaction documents for attorney review, completing and submitting investor onboarding materials, coordinating full execution of legal agreements, and managing closing documents for client recordkeeping and practice group knowledge management efforts.
- Assisting with organizing relevant documents related to private investment fund formations and private fund investments, and providing ongoing corporate maintenance for private investment fund clients of the law firm.

Essential Capabilities:
- Possess demonstrated experience with private investment funds, servicing private fund managers, and institutional investors.
- Ability to maintain strict confidentiality of the law firm's internal and personnel affairs.
- Collaborate and interact effectively with all levels of personnel, including management staff, colleagues, and support staff.
- Possess strong oral and written communication skills.
- Maintain a proactive approach to meeting deadlines, respond quickly and efficiently to changing priorities, and adapt to tight deadlines with multiple tasks.
- Possess excellent attention to detail with timely follow-through on deliverables.
- Pursue professional development by actively seeking feedback and learning new skills.
- Maintain a professional demeanor in all situations and work effectively within a cross-office and culturally diverse environment.

Education and Experience Information:
- A High School diploma or GED is required; however, a Bachelor's degree and/or paralegal certificate is strongly preferred.
- A minimum of three (3) years of corporate paralegal or comparable work experience is required.

Salary Information:
- Pursuant to the Illinois Equity Pay Act, the salary range for this Chicago-based position is between $82,700 - $115,800.
- Pursuant to the Washington DC Pay Transparency Law, the salary range for this Washington DC-based position is between $89,900 - $125,900.
- These figures represent the full compensation range of this position. The actual offered amount will be determined based on factors such as education, experience, geographic market, and internal pay equity at the law firm.
