Neuberger Berman is seeking an experienced lawyer to join our Legal and Compliance Team in New York as an Assistant General Counsel for our . registered fund business. This is an exceptional opportunity for a well-rounded investment management attorney with at least 4 years of experience in this field. The ideal candidate is someone who enjoys working on a variety of sophisticated matters, has strong communication skills and is a team player.
As the Assistant General Counsel, you will be responsible for providing legal advice and support for our . registered fund business, including mutual funds, exchange-traded funds, and closed-end funds. You will also provide support to our intermediary distribution efforts. This position reports to the General Counsel – . Registered Funds.
Key Responsibilities:
- Providing legal advice on structuring and maintaining registered investment vehicles, including preparing and reviewing registration statements
- Advising internal clients such as portfolio managers and marketing personnel on legal and regulatory matters related to business initiatives
- Maintaining positive relationships with regulators, clients, and boards of trustees/directors through superior responsiveness and client service
- Preparing materials for boards of trustees/directors on various legal and compliance matters
- Drafting and negotiating contracts, including investment management agreements and distribution agreements
- Staying updated on regulatory developments and assisting with implementation of new rules and regulations
- Reviewing marketing materials and client communications
- Adjusting job responsibilities to accommodate changing priorities and managing multiple deadlines
Requirements:
- Bachelor’s degree and JD required
- Member of New York state bar (or ability to waive in)
- At least 4 years of experience working with . registered funds and the Investment Company Act of 1940 at a major . law firm or in-house legal department
- Experience working with boards of trustees/directors preferred
- Experience with intermediary relationships for . registered products a plus
- Able to work independently but also seek guidance when needed
- Proactive approach and ability to communicate effectively with senior management
Compensation Details:
- Salary range: $180,000-$220,000
