Job Title: Sr. Counsel, M&A

Job Responsibilities:
- Lead and support mergers, acquisitions, joint ventures, investments, warrants, and other corporate transactions through all stages of a transaction lifecycle. This includes the assessment of potential targets, deal structuring, negotiation, due diligence, and deal execution.
- Provide strategic legal advice to senior management and other internal stakeholders regarding M&A strategy, risk management, and execution.
- Draft, review, and negotiate transaction documents, including definitive agreements, letters of intent, and ancillary documents.
- Work collaboratively with multiple cross-functional teams across the company on post-closing integration matters.
- Advise on legal and regulatory issues related to securities law, antitrust, data privacy, and other compliance matters that may impact M&A transactions.
- Provide support and guidance on other corporate matters.
- Effectively manage outside counsel, including the selection of advisors and coordination of efforts to ensure effective legal support during the transaction process.
- Contribute to the development of internal legal processes and best practices for M&A transactions.

Education and Experience Information:
- Possess a JD and be admitted to any state bar.
- Have 9+ years of legal experience in a law firm, as well as experience working in-house as a corporate transactions attorney focused on M&A and investments.
- Experience with corporate transactions in the technology sector.
- Ability to work autonomously while exercising sound judgment in a fast-paced environment.
- Excellent verbal and written communication skills.
- Excellent organizational skills and the ability to manage multiple projects at once, follow through and meet deadlines.
- Flexibility and a willingness to work extended hours when necessary.
- Proven ability to balance legal risk and business objectives.
- A positive attitude and high EQ, and possess common sense and a good sense of humor.

Salary Information:
The national base pay range for this position within the United States is $214,200—$315,000 USD. The successful candidate’s starting pay will fall within this pay range and is determined based on job-related factors including skills, experience, qualifications, work location, and market conditions. Base salary is localized according to an employee’s work location, and ranges are market-dependent and may be modified in the future. In addition to base salary, compensation for this role includes opportunities for equity grants.
