Job Title: Corporate Equity Derivatives Lawyer
Job Responsibilities:
- Collaborate with the investment bank and external counsel to provide comprehensive support for corporate equity derivative transactions in the . and globally, specifically when the underlying company is incorporated or listed in the .
- Serve as a subject matter expert on all legal and regulatory matters related to corporate equity derivative transactions. This includes but is not limited to margin loans, prepaid variable forwards/collars, issuer call spreads/capped calls, and structured share repurchases.
- Work with the broader Group Legal and Investment Banking teams to educate them on new regulatory initiatives, market trends, conflicts, significant cases, and changes in law.
- Monitor legal and regulatory developments relevant to the Investment Banking business.
- Collaborate closely with other company functions, including Compliance, Conflicts, the Global Banking Operating Office, and Risk.
Education and Experience Information:
- Juris Doctor (JD) degree with current Bar Admission in New York.
- A minimum of 4 years of experience working in a law firm or as in-house counsel.
- Excellent product knowledge in corporate equity derivatives.
- Strong understanding of equity derivatives, ISDA documentation, and relevant . bankruptcy and securities law.
- Ability to work as a team player across products and divisions.
- Proven talent in negotiating complex documents.
- Prior experience providing advice to investment banks is a plus.
- Exceptional written and verbal communication skills with the ability to challenge stakeholders at all levels.
Salary Information:
- The salary range for this role in New York is $176,000 to $229,000.
- The expected salary range is based on factors including, but not limited to, experience, qualifications, education, location, and skill level.
- This role may also be eligible for discretionary incentive compensation.
Additional Information:
- The candidate will be part of the Global Banking Legal team in the New York office and play a critical role in supporting the negotiation and documentation of trade confirmations, loan agreements, collateral agreements, and other transactional documents.
- As a business-aligned equity derivatives lawyer, the candidate will provide best-in-class legal advice on transactions to effectively manage legal risk for the Investment Bank.
