Job Title: Corporate Paralegal

Job Responsibilities:

- Manage foreign subsidiaries, which includes forming, maintaining, and dissolving legal entities; organizing subsidiary board meetings; handling director and officer matters; processing know-your-customer forms; and managing registered offices and agents. Additionally, oversee other subsidiary reporting, compliance, filing, and registration requirements.
- Assist with various corporate governance functions, such as preparing minutes, resolutions, and written consents; maintaining corporate records and internal databases; and ensuring timely corporate and regulatory filings.
- Support annual policy and charter reviews, board of directors self-assessments, director and officer onboarding and offboarding, director and officer questionnaires, and tracking related party transactions and conflicts of interest.
- Collaborate with cross-functional teams to manage and complete global signature requests for subsidiary directors and officers, including obtaining wet signatures, notarizations, and apostilles.
- Project manage a variety of Corporate Legal matters or projects.
- Contribute to the development or improvement of templates, processes, and policies and procedures.
- Work collaboratively to prioritize business objectives and support overall company success.
- Support domestic legal entity matters as needed.
- Provide support for M&A and financing matters as needed.
- Assist in Securities matters as needed.
- Support other projects as required.

Education and Experience Information:

- At least 8 years of relevant corporate experience, focusing on foreign subsidiary management, corporate governance, corporate transactions, and securities.
- Significant in-house experience at a multinational, fast-paced, publicly-traded company or large tech startup, with relevant prior experience from a top law firm.
- Proficiency in technology tools, including Boardvantage or Diligent (or similar board of directors e-portals), Google Suite, Adobe, DocuSign, Microsoft Word, and Microsoft Excel.
- Strong interpersonal skills, including effective communication with a wide variety of people, collaboration with diverse business groups, and building interdepartmental relationships at all levels, including senior-level executives and members of the Board of Directors.
- Capability to assert and challenge, both internally and with clients, in a constructive and respectful manner.
- Advanced problem-solving skills to quickly digest a problem, evaluate solutions, and deliver results.
- Excellent drafting, project management, legal interpretation, and research skills.
- Commitment to professional conduct, excellence, and meticulous attention to detail, sometimes under time pressure.
- Experience working on highly confidential, sensitive matters.
- Sense of humor, positive attitude, and willingness to dive into new areas.
- Licensed notary public, or willingness to become one.

Salary Information:

The base pay for this position ranges from $122,000 to $163,000, with the target total cash compensation ranging from $134,000 to $179,000. Compensation is based on various factors, including market location and may vary depending on job-related knowledge, skills, and experience. This position also includes a discretionary bonus, equity, and a comprehensive benefits package.
