About the Role:
The law firm of Michelman Robinson is seeking a highly skilled Corporate Paralegal to join our team in New York, NY. In this role, you will provide support to our Corporate, M&A, Transactional, and Real Estate practices, managing complex transactions from start to finish. We are looking for a detail-oriented legal professional with a passion for managing complex transactions and a strong background in corporate paralegal work.
Key Responsibilities:
- Provide support to attorneys in various corporate transactions, including M&A, private equity, real estate, and securities filings.
- Handle entity formations, registrations, dissolutions, and EIN applications.
- Draft and organize governance documents, such as operating agreements, resolutions, and bylaws.
- Conduct due diligence and lien/UCC searches for corporate transactions.
- Manage transaction closings, including document execution and post-closing support.
- Prepare and file Forms D/ID and Blue Sky filings using EDGAR and EFD.
- Maintain corporate records, minute books, and coordinate with clients and agencies.
- Support real estate deals by reviewing titles/surveys, coordinating escrow, and preparing lease documentation.
Requirements:
- 5+ years of corporate paralegal experience in a mid-to-large law firm.
- Demonstrated success in managing end-to-end transaction workflows.
- Expertise in legal document drafting, research, and organizing large volumes of data.
- Skilled in tools like NetDocuments, DocuSign, EDGAR, Westlaw, and Microsoft Office Suite.
- Excellent time management, communication, and collaboration skills.
- Familiarity with client billing systems such as Elite or Aderant.
