H2: Provide Legal Counsel for Investment Transactions and Regulatory Matters
Overview:
- Serve as primary legal counsel for Fort Washington Investment Advisors (FWIA)
- Advise on transactional, securities, and regulatory matters related to investment advisor registration and operation
- Provide legal support for private equity and private debt strategies, including fund formation, compliance, and fundraising
- Offer general corporate legal services, including mergers and acquisitions support
Responsibilities:
- Advise on legal matters for FWIA senior management and shared services unit
- Provide legal counsel for private equity, private debt, and other investment transactions
- Support FWIA on compliance programs, client communications, and regulatory filings
- Offer legal counsel for strategic venture capital program and assist with mergers and acquisitions projects
- Communicate and negotiate with other attorneys and regulatory authorities
- Draft and finalize complex legal documents
- Manage outside counsel and budget effectively
- Meet deadlines and manage competing priorities
- Collaborate with executive leadership and influence others internally and externally
- Build collaborative relationships with colleagues and demonstrate knowledge of financial services businesses
- Obtain license to practice law in Ohio upon hire
Qualifications:
- JD degree from accredited law school
- 5+ years experience as Counsel or equivalent handling investment transactions and regulatory matters
- Comprehensive knowledge of securities laws
- Excellent communication and technical writing skills
- Ability to manage and prioritize multiple tasks and work under pressure
- Strong leadership, negotiation, and conflict resolution skills
- Detail-oriented, resourceful, and able to follow-through effectively
Work Setting/Position Demands:
- Office setting with prolonged stationary work
- Ability to verbally communicate and exchange information
- Visual acuity for reading and inspecting documents
- Ability to prepare written correspondence and reports
- Logical thinking and problem-solving skills
- Extensive wrist, hand, and finger movement for computer work
- Occasional after-hours work may be needed
