Job Title: Senior Paralegal - Corporate

Job Responsibilities:
The Senior Paralegal - Corporate will work collaboratively within the Corporate Secretary’s Office and across the company to support corporate-governance and securities-law compliance responsibilities at both the public-company and subsidiary levels. The responsibilities include:

- Supporting all aspects of Board and Board committee meetings, focusing on material preparation, collection, assembly, and distribution.
- Supporting activities related to the Annual Meeting of Shareholders.
- Serving as the primary administrator of the board portal, Diligent Boards.
- Assisting in the facilitation of annual D&O questionnaires and self-evaluations.
- Drafting and circulating written consents.
- Drafting meeting scripts and minutes.
- Assisting in director-education activities.
- Assisting in director and executive officer on- and off-boarding and related tasks.
- Managing annual governance requirements for various subsidiaries.
- Assisting with legal entity management tasks, including entity formations, mergers, dissolutions, and assumed name filings.
- Preparing delegations of authority and supporting requests related to signing authority.
- Managing requests for corporate information and preparing certifications.
- Responding to requests for information required for regulatory examinations and internal and external audits.
- Supporting securities law compliance matters, such as securities offerings, Section 16, and New York Stock Exchange requirements.
- Assisting in maintaining corporate records.
- Assisting with special projects and miscellaneous duties as assigned.

Education and Experience Information:
- A minimum of 3 years of relevant paralegal experience is required, with a preference for in-house experience.
- A Bachelor's degree and paralegal certification from an ABA-approved paralegal program are required.
- Proficiency in Microsoft Office and Adobe Acrobat is necessary, along with a willingness to learn new software skills. Experience with Diligent Boards, hCue, NetDocs, and/or SharePoint is a plus.
- Candidates must be detail-oriented, highly organized, proactive, and possess a strong work ethic.
- Impeccable record-keeping skills are essential.
- Candidates should be analytical thinkers with the ability to make quick, sound judgments.
- Excellent written and verbal communication skills and strong follow-up are required.
- The ability to work comfortably, expeditiously, and efficiently while providing support to Board members and executives is necessary.
- The ability to work independently and as part of a collaborative team is essential.
- Proven ability to handle confidential information with discretion is required.
- Willingness to work beyond normal business hours, when needed, is expected.
- Willingness to travel on occasion to attend Board meetings is required.

Salary Information:
- Base Pay Range: $70,000 - $120,000 USD
- An individual's position in the range is determined by the specific role, the scope and responsibilities of the role, work experience, education, certification(s), training, and additional qualifications.
