Job Title: Legal Counsel
Job Responsibilities:
The Legal Counsel - Transactional at the company is tasked with providing legal support to the business and the department, particularly focusing on transactional legal matters within the North American sector of a multi-national environment. The key responsibilities include:
- Drafting, reviewing, and advising on various transactional matters such as confidentiality contracts, agreements with customers, suppliers, distributors, consulting agreements, intellectual property licensing, and joint development agreements with minimal supervision.
- Drafting, monitoring, and revising legal templates as necessary.
- Acting as the primary legal point of contact for one or more of the company's Global Business Units, particularly within the medical adhesive market segment.
- Providing proactive legal support to business functions like sourcing, operations, supply chain, R&D, tax, finance, and audit.
- Participating in business meetings to stay aligned with evolving business needs.
- Advising on legal risks and supporting corporate/project work, including joint ventures, acquisitions, and regional expansion projects.
- Managing outside counsel as needed.
- Assisting with training and improving the contract request and review process across all levels within the company.
- Developing and delivering effective training on various legal topics.
- Supporting strategic initiatives from the company's Global Law Department.
Education and Experience Information:
- A Juris Doctor (.) degree is required.
- A Bachelor's degree or equivalent relevant experience is also necessary.
- The candidate should have experience providing legal advice within the medical industry.
- Admission as a lawyer in at least one state is required, with a preference for Minnesota (MN).
- The position requires 3-5 years of transactional legal experience, including commercial contract review and drafting.
- The role demands the ability to understand new or changing laws and work with department attorneys to ensure compliance.
- Strong organizational, analytical, and communication skills (both oral and written) are essential.
- Excellent attention to detail and accuracy is required.
- The ability to manage multiple matters simultaneously under deadline pressure is crucial.
- Strong relationship-building and conflict management skills are important.
Preferred Requirements:
- Fluency in Spanish or Portuguese is preferred.
- Experience with Artificial Intelligence (AI) is desirable.
- Familiarity with research databases such as Westlaw, Lexis/Nexis, or similar is beneficial.
- Proficiency in Microsoft Word, Outlook, Excel, SharePoint, and PowerPoint is preferred.
Salary Information:
The salary for this role ranges from $114,800 to $150,000. Compensation is based on several factors, including but not limited to education, work experience, certifications, and geographic location. In addition to the salary, the company offers employees a competitive total rewards package, including comprehensive benefits, incentive and recognition programs, health and wellness benefits, 401K contributions, paid time off, and paid holidays.
