Senior Attorney of Securities & Corporate Governance

Job Responsibilities

As a Senior Attorney of Securities & Corporate Governance at the company, you will play a pivotal role in ensuring the company's compliance with securities laws and advising management on various disclosure issues. Your responsibilities will include:

- Working closely with the financial reporting staff to prepare the company's Securities and Exchange Commission filings under the Securities Exchange Act of 1934, including Forms 10-K, 10-Q, and 8-K.
- Monitoring and advising management on new legal requirements and disclosure practices among peer companies.
- Providing legal advice regarding compliance with securities laws and sensitive disclosure issues, including Regulation FD.
- Managing the process relating to summarizing the contingent liabilities of the company.
- Providing support to the Corporate Secretary’s office, including preparation and review of audit committee materials, resolutions, and minutes.
- Overseeing the company’s compliance program for the prevention of insider trading.
- Conducting complex legal analysis to craft strategies and interpretations that anticipate the outcome of important and uncertain legal and factual issues, ensuring legal compliance.
- Leading the development and implementation of legal strategies and the company's position on changes in laws and regulations.
- Collaborating with senior levels of the company and representing the company at significant public, business, and legal gatherings, interacting with government officials, industry bodies, and clients as required.
- Developing the company's legal strategy to select, retain, manage, and evaluate effective outside counsel.
- Guiding corporate policy on regulation development, business processes, safety, ethics and compliance, operational efficiency, and future business models with business acumen, creativity, and legal expertise.
- Leading the provision of legal advice on aspects of corporate development and strategic initiatives while driving cross-functional alignment.
- Conducting all aspects of regulatory litigation, including leading legal strategy and preparing all pleadings.
- Leading the company regarding regulatory and enforcement agencies, including the California Public Utilities Commission and Federal Energy Regulatory Commission, on complex legal matters, including the drafting and preparing of regulatory filings, testimonies, and reports, and advocating company positions at hearings.
- Overseeing the execution, structuring, drafting, reviewing, and negotiation of complex agreements, including identifying legal and business risks and recommending solutions.
- Overseeing compliance with federal and state securities laws and corporate governance requirements, including identifying legal and business risks and recommending solutions.
- Overseeing the organization’s docket of litigation and investigation matters, ensuring a sound strategy for engaging with outside counsel and internal legal teams.

A material job duty for all positions within the company is ensuring the protection of all its physical, financial, and cybersecurity assets, and properly accessing and managing private customer data, proprietary information, confidential medical records, and other types of highly sensitive information and data with the highest standards of conduct and integrity.

Education and Experience Information

- Juris Doctor (.) from an accredited law school.
- Eight or more years of experience practicing law. Experience can be at a law firm, corporate in-house setting, or government authority.
- Current member in good standing of the State Bar of California or willingness and ability to become accredited as such.

Preferred Qualifications

- Significant relevant legal experience with federal and state securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, Regulation FD, Regulation G, and Sarbanes-Oxley.
- Utility industry experience.
- Experience working with financial statements.
- Strategic problem solver with strong analytical ability and business acumen to provide legal advice within a business context.
- Strong interpersonal skills and the ability to work effectively as part of a team, including the ability to promote positive cooperation within the legal team, with other company personnel, and with outside counsel.
- Experience interacting with senior management and non-lawyer clients and stakeholders.

Salary Information

Pay for this position ranges from $227,400 to $341,100.

Additional Information

- This position’s work mode is hybrid, with the employee reporting to a company facility for a set number of days with the option to work remotely on the remaining days. Employees are required to work and reside in the state of California. Further details of this work mode will be discussed at the interview stage, and the work mode can be changed based on business needs.
