Job Responsibilities
As an Attorney of Securities & Corporate Governance at the company, the primary responsibilities include ensuring compliance with securities laws for the company and its parent company, providing legal advice on disclosure issues, drafting necessary disclosures, and monitoring legal developments in securities law. The role involves working closely with the financial reporting team to prepare the company's filings with the Securities and Exchange Commission (SEC) under the Securities Exchange Act of 1934, including Forms 10-K, 10-Q, and 8-K. The attorney is responsible for advising management on new legal requirements and disclosure practices, handling compliance with securities laws, and managing the process for summarizing the company's contingent liabilities. Additional duties include supporting the Corporate Secretary’s office, preparing and reviewing audit committee materials, resolutions, and minutes, and overseeing the compliance program for preventing insider trading.
The attorney will serve as the Lead Attorney or First Chair on medium-sized legal matters of increasing complexity and support significant legal matters. The role requires anticipating and identifying legal, technological, and environmental risks and developing mitigation strategies with stakeholders. Providing legal advice on complex issues with strategic or performance implications is a key responsibility. The attorney will drive processes for contracts and implement best practices under senior attorneys' guidance, analyze and draft legal memoranda, and create business-oriented legal reports. The position involves leading regulatory and enforcement matters, negotiating and drafting a wide range of agreements, participating in designing legal strategies for proposed legislation, and managing relationships with outside counsel on litigation matters. A crucial aspect of the role is ensuring the protection of the company's assets and managing sensitive information with integrity.
Education and Experience Information
Minimum qualifications for this position include holding a Bachelor's degree and a Juris Doctor (.) degree, being a member of the California bar or willing to obtain a license, and having at least three years of experience practicing as an attorney. The candidate should demonstrate experience handling moderately sophisticated legal matters independently or specific aspects of larger complex matters.
Preferred qualifications include significant legal experience with federal and state securities laws, such as the Securities Act of 1933, the Securities Exchange Act of 1934, Regulation FD, Regulation G, and Sarbanes-Oxley. Experience in the utility industry and working with financial statements is advantageous. The role requires a strategic problem solver with strong analytical skills and business acumen to provide legal advice in a business context. Strong interpersonal skills for effective teamwork and experience interacting with senior management and non-lawyer clients and stakeholders are also preferred.
Salary Information
The salary range for the Attorney of Securities & Corporate Governance position is between $201,300 and $302,000.
Additional Information
The position is hybrid, requiring the employee to report to a company facility for a set number of days with the option to work remotely on the remaining days. Employees must work and reside in California unless otherwise noted. Details of the work mode will be discussed during the interview stage and can be changed based on business needs.
