Exela is currently seeking a versatile Assistant General Counsel to join our legal team. This role will report to the Deputy General Counsel and work closely with various departments to provide legal counsel and support for a range of legal functions. The ideal candidate will have a strong background in corporate transactional practice, commercial contracts, and corporate compliance.

Responsibilities:

- Draft, review, and negotiate various commercial contracts with clients and vendors
- Assist with SEC reporting requirements and corporate governance matters
- Support mergers and acquisitions, joint ventures, and other growth-oriented transactions
- Collaborate with different departments to provide legal advice and guidance on various matters
- Handle demand letters, conduct investigations, and manage litigation with outside counsel
- Evaluate and address compliance needs and identify legal issues and risks

Qualifications:

- Juris Doctorate from an ABA-accredited law school and licensed to practice law in at least one state
- 3-4 years of legal practice, preferably in a reputable law firm
- Experience in corporate transactional practice, commercial contracts, and corporate compliance
- Strong work ethic and ability to handle multiple tasks under deadline pressure
- Exceptional integrity, sound business judgment, and strategic thinking
- Ability to work independently and collaboratively in a dynamic, multicultural organization
- Excellent communication skills, both written and verbal
- Proficiency in word processing, spreadsheet, database, and communication software applications
- Executive presence and ability to quickly earn respect and trust from team members and business units
