Job Title: Corporate Venture Counsel
Job Responsibilities:
- Support the Corporate Venture Capital (CVC) team in identifying and vetting target companies for potential investment.
- Supervise early pre-due diligence processes with a focus on confidentiality and intellectual property (IP) protection.
- Draft and negotiate Non-Disclosure Agreements (NDAs), term sheets, and Letters of Intent (LOIs) for potential investments.
- Prepare and review materials for executive and board-level investment reviews.
- Select, manage, and coordinate with outside counsel on specialized aspects of transactions, including IP, international legal matters, and financial diligence.
- Draft and review investment agreements and related transaction documents.
- Coordinate with the parent organization's legal team on corporate governance and compliance matters.
- Support post-investment relationship management from a legal perspective.
- Advise on legal risks and considerations throughout the investment cycle.
- Develop and implement standardized processes to increase efficiency in the CVC investment workflow.
- Stay current on venture capital market trends, terms, and regulatory developments.
Education and Experience Information:
- 5-7 years of relevant legal experience with a substantial focus on venture capital transactions, investment deal structuring, and corporate/securities law.
- Juris Doctor (JD) degree and bar admission in good standing in any state.
- Experience supporting or leading early-stage investment transactions, including term sheet negotiation and due diligence management.
- Strong understanding of corporate governance issues related to strategic investments.
- Excellent drafting skills, particularly for investment agreements and related transaction documents.
- Ability to work independently while managing multiple transactions at various stages.
- Experience managing outside counsel effectively to optimize legal spend.
- Strong business acumen and ability to balance legal risk management with business objectives.
- Exceptional communication skills for explaining complex legal concepts to business stakeholders.
Salary Information:
- Expected Base Pay Range: $140,000 to $160,000 Annualized.
- Bonus eligible: In addition to base pay, compensation for this position includes eligibility for a 5% annual bonus.
