Job Title: Corporate Paralegal
Job Responsibilities:
The Corporate Paralegal role involves a wide array of responsibilities that are critical for supporting the Commercial Transactions Practice Group at the law firm. The paralegal will be responsible for:
- Communicating and interacting with clients, vendors, and counsel
- Maintaining and managing deadlines for filing corporate annual reports, including online filings with state systems and tracking FinCEN filings
- Preparing and reviewing UCC filings and documentation
- Ordering duplicate tax bills, estimates of redemption, and certified documents from government agencies; ordering Certificates of Good Standing, Articles/Certificates of Incorporation/Organization, and certified copies of recorded documents
- Reviewing and organizing due diligence materials and client records
- Assisting with due diligence and performing corporate and legal research for business and lending transactions
- Ordering and reviewing tract searches, ownership searches, judgment searches, UCC, tax liens, litigation, judgment, and bankruptcy searches
- Assisting attorneys with business and loan transactions
- Managing and coordinating transaction closings
- Assisting in preparing closing documents, materials, and correspondence
- Managing, preparing, and distributing post-closing documents and other materials
- Preparing and reviewing/analyzing mortgages, assignments of mortgage, and related financing documents
- Preparing and analyzing loan documents and related due diligence materials
Education and Experience Information:
Candidates for the Corporate Paralegal position must possess a Bachelor’s degree and/or a Paralegal certificate, along with a minimum of three years of experience as a corporate, commercial/transactional paralegal in a law firm environment. This experience must encompass the specific job duties noted above. Applicants lacking this experience will not be considered.
Candidates should be proficient with internet software, Microsoft Word, and Excel. Experience with iManage and MyDec is preferred, and knowledge of real estate software is a plus. A general understanding of corporate knowledge/experience is required, including the formation and organization of legal entities, filing annual reports, maintaining corporate minute books, and filing EIN applications and UCC filings. Familiarity with Illinois and Delaware Secretary of State business websites is necessary, with knowledge of the Florida Secretary of State business website being a plus. Additionally, familiarity with the Corporate Transparency Act is important.
Candidates must have the ability to read and understand legal descriptions, title reports, leases, loan documents, purchase agreements, and other contracts. Excellent written and verbal communication and interpersonal skills are required to interact effectively with staff, attorneys, opposing counsel, lenders, title companies, government agencies, vendors, and clients. Strong organizational skills and attention to detail are essential to manage the large volumes of work associated with each case and transaction. The ability to work effectively in a fast-paced environment is also necessary.
Salary Information:
The estimated salary range for the Corporate Paralegal position is between $64,000 and $100,000 annually. This range is specifically for applicants who will perform work in the state of Illinois if selected for the role. The salary offered will be determined based on internal equity, the internal salary range, market data, applicant skills, relevant experience, and degrees or certifications. This estimated range is specific to Illinois and is not applicable to other locations. The benefits package includes medical, dental, vision, life insurance, and a 401(k) plan.
