Job Title: Corporate Paralegal
Job Responsibilities:
- Proofread prospectuses, offering memorandums, forms, and other documents to ensure accuracy and compliance.
- Draft DTC issuer letters and engage with DTC as necessary for deal settlements.
- Draft and file UCC financing statements to support transactional processes.
- Prepare signature pages for various legal documents.
- Order and review lien searches and corporate organizational documents to support transactions.
- Manage and organize documents and files associated with complex finance transactions, ensuring easy access and retrieval.
- Assist with transaction closings by preparing and finalizing necessary legal and transactional documents.
- Conduct research using EDGAR and other electronic databases to gather relevant information.
- Foster an environment of teamwork and cooperation within the department and with other departments.
- Perform additional duties as required to support the efficient functioning of the department and the law firm.
Education and Experience Information:
- A Bachelor’s Degree or equivalent experience is required.
- Experience with Rule 144A securitization is preferred.
- Demonstrated ability to work in a professional office setting is essential.
- The ability to work independently and cooperatively with other employees is necessary.
- Excellent interpersonal, written, and verbal communication skills are required.
- The ability to maintain confidential information is essential.
- Critical and analytical thinking skills in a pressured environment are necessary.
- Proficiency in systems such as Microsoft Office Suite (Word, Excel, PowerPoint, and Outlook), iManage, Workday, Carpe Diem, Box, DocuSign, and PDF software is required.
