Job Title: Senior Paralegal/Contracts Manager
Job Responsibilities:
The Senior Paralegal/Contracts Manager is tasked with supporting the Legal Department at the company. The primary duties involve drafting, reviewing, negotiating, and revising contracts independently. Additionally, the role includes providing support for strategic transactions and the company's contracts management system (Agiloft), as well as participating in other projects as required. The individual will primarily support the VP, Corporate & Transactional Counsel and the Senior Pharmaceutical Counsel but will be accountable to the entire department.
Responsibilities include:
- Establishing and maintaining effective working relationships with the business while keeping an up-to-date understanding of the business and its products to effectively analyze risk tolerance under applicable circumstances.
- Drafting, reviewing, negotiating, and revising Master Services Agreements, Task Orders/Statements of Work, Change Orders/Amendments, Consulting Agreements, Confidential Disclosure Agreements (CDAs), and other agreements for multiple departments in a timely manner, exercising independent judgment and escalating complex legal issues to attorneys when necessary.
- Responding to inquiries from the business regarding new and existing agreements, interpreting contract terms and obligations as needed.
- Reviewing Consulting Agreements and related Descriptions of Work for Health Care Provider (HCP) and Key Opinion Leader (KOL) engagements to ensure compliance with company policies and Standard Operating Procedures (SOPs).
- Assisting with the administration of the company’s contract management system.
- Conducting legal research and assisting with special projects within the legal department as needed.
Education and Experience Information:
- A Bachelor's degree and a Paralegal certificate are required.
- A minimum of seven (7) years of experience as a corporate paralegal with hands-on experience in interpreting, drafting, and negotiating contracts is required, with specific experience in the pharmaceutical industry.
- Proficiency with Microsoft Office (Word, Excel, PowerPoint, and Outlook) and general business software/applications is necessary.
- Excellent written and verbal communication skills, with the ability to prioritize work assignments and adjust as needed, are essential.
- The candidate must live within a commutable distance to the US Corporate Headquarters in Florham Park, NJ, with an office presence required 50% per month, at least 2-3 days per week.
- A service-oriented attitude towards the business and a positive, “can do” attitude are important.
- Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at various levels throughout the company, are required.
- Maturity and initiative, with the ability to work both independently and on teams, are vital.
- The ability to maintain the integrity of confidential and sensitive information in a professional manner is essential.
