Job Description and Responsibilities:
- Coordinating with clients to obtain formation data and drafting corporate governance documents.
- Submitting state and federal filings, including formations, conversions, mergers, and foreign registrations.
- Managing cap tables and preparing state and federal tax and annual report filings.
- Generating Excel investor signature trackers and coordinating document distribution and signature collection strategies.
- Drafting ancillary financing documents and managing state and federal securities exemption filings.
- Maintaining clean cloud-based file management systems and assisting with document management platform issues.
- Providing support for document drafting, proofreading, and e-filing court documents.
- Working within a fast-paced, constantly changing, and demanding environment.
- Collaborating with team members to ensure seamless workflow and project coordination.
Qualifications:
- Minimum of 7 years of experience as a paralegal working on corporate matters.
- .
- Extensive experience in document drafting and management.
- Knowledge of closing processes for Safes, Convertible Note, and NVCA equity round financings.
- Familiarity with federal and state securities and regulatory compliance.
- Proficiency in document filing coordination with Secretaries of State.
- Strong organizational and analytical skills with excellent written and verbal communication abilities.
- Tech-savvy and adaptable, comfortable using business software and systems.
- Exceptional attention to detail with a focus on accuracy and quality.
- Natural collaborator who works well within a team.
