Job Title: Sr. Director, Corporate Counsel, Compliance - Anti-bribery, Anti-corruption and Trade & Sanctions
Job Responsibilities:
- Program Leadership and Strategy:
- Lead the global Anti-bribery/Anti-corruption (ABAC) and Trade/Sanctions Compliance Programs, ensuring they align with legal and regulatory requirements such as the Foreign Corrupt Practices Act (FCPA), UK Bribery Act, Office of Foreign Assets Control (OFAC), and European Union (EU) Sanctions.
- Assess the design of current programs and lead compliance strategies while enhancing policies and control frameworks to align with regulatory updates.
- Collaborate with business units to implement control frameworks and automation, including global joint ventures.
- Manage third-party due diligence and monitoring for customers, employees, and suppliers regarding ABAC, trade/sanctions, and other reputational issues.
- Governance and Oversight:
- Act as the subject matter expert on ABAC and trade/sanctions-related matters, reporting directly to the VP, Associate General Counsel (Litigation, Employment, and Corporate Compliance) with a dotted line reporting to VP, Compliance.
- Establish governance structures within the core business and align with joint ventures to oversee compliance program effectiveness, including periodic risk assessments and reporting.
- Monitor developments in global regulations and ensure timely updates to internal policies and processes.
- Training and Culture:
- Support a culture of compliance by designing and delivering targeted training programs for employees and third parties.
- Partner with leadership to embed ABAC and trade compliance considerations into business strategies and operations.
- Investigation and Enforcement:
- Collaborate with the Legal Team and outside counsel as necessary to oversee investigations and drive remediation plans, ensuring swift and appropriate resolution.
- Monitoring and Reporting:
- Develop and manage compliance metrics and dashboards in partnership with cross-functional organizations, including Finance, Procurement, Operations, and Sales & Marketing, for ongoing monitoring and executive reporting.
- Conduct periodic program reviews and audits to assess effectiveness and identify areas for improvement.
- Prepare reports for the board, executive leadership, and other key stakeholders.
Education and Experience Information:
- Minimum 12 years of experience in legal or compliance roles, with at least 8 years in anti-bribery/anti-corruption and trade/sanctions compliance, including experience from internationally recognized law firms, in-house roles, and government positions.
- Juris Doctor (JD) or equivalent legal degree is required.
- Demonstrated success in building and managing global compliance programs across diverse geographies and industries.
- Expertise in ABAC regulations (., FCPA, UK Bribery Act) and trade/sanctions frameworks (., OFAC, EU, UN sanctions).
- Experience interfacing with regulators, external auditors, and outside legal counsel.
- Strong leadership, communication skills, and the ability to influence and engage stakeholders across all levels.
- Proven ability to manage complex projects and prioritize competing demands.
- Analytical and problem-solving skills to address nuanced compliance challenges.
- Proficiency in developing and implementing compliance technology solutions to enhance program efficiency.
Salary Information:
- Compensation range: $220,000 - $240,000 USD annually. This compensation range represents the company's good faith belief regarding the base salary/hourly rate for this position at the time of posting.
