Job Title: Corporate Paralegal – Boston, New York
Job Responsibilities:
The Corporate Paralegal will provide essential support to corporate attorneys primarily in the Boston or New York offices, while also offering assistance to the Corporate & Securities section throughout the law firm as needed. The responsibilities include:
- Preparing for and assisting with closings and client meetings.
- Drafting closing agendas, corporate resolutions, closing certificates, assignments, releases, and bills of sale for attorney review.
- Assembling, cataloging, and assisting attorneys in analyzing due diligence.
- Ordering and assisting attorneys in analyzing UCC, Tax Lien, and Litigation Searches.
- Ordering Certificates of Good Standing and certified documents for closings, agreement representations, and legal opinion back-up documentation.
- Maintaining corporate and stock records.
- Drafting and filing SEC, Blue Sky, and UCC filings.
- Conducting Blue Sky research using Vital Law and preparing summary charts.
- Drafting and filing entity formation documents for profit and non-profit corporations, limited liability companies, business trusts, and limited partnerships. This includes Certificates of Formation, Certificates of Limited Partnership, Articles/Certificates of Incorporation, By-Laws, Initial Action by Incorporator, Initial Director Action, Stock Subscription Agreements, Stock Certificates, Applications for Employer Identification Number, Foreign Qualifications, and related documents.
- Drafting and filing annual reports.
- Drafting and filing documents for qualifications, mergers, conversions, and dissolutions.
- Processing audit letters.
- Managing CARTA equity tracking.
- Assuming additional responsibilities as requested.
This role requires a 60% presence in the office, with the option to work remotely 40% of the time.
Education and Experience Information:
- A Bachelor’s degree is required.
- A minimum of 5 years of corporate paralegal experience, preferably in a mid to large law firm environment.
- Excellent written and verbal communication skills are necessary.
- Strong organizational and administrative skills are required.
- Attention to detail and the ability to execute tasks through to completion are essential.
- Creative problem-solving skills, reasoning ability, and a logical thought process are critical.
- The ability to work under pressure, prioritize competing demands, and meet various deadlines is required.
- Demonstrated ability to interact and collaborate professionally with colleagues at all levels.
- Ability to work independently as well as part of a team.

- Flexibility to work overtime when necessary.
Salary Information:
The salary range for this position in New York is between $100,000 to $125,000. This position is bonus eligible. The law firm offers a comprehensive benefits package.
