Corporate Paralegal The candidate must have a Bachelor's degree and/or Paralegal Certificate with a minimum of 10 years of corporate transactions and paralegal experience. Must be familiar with researching federal registrations and exemptions; state securities Blue Sky regulations filings and compliance; preparation and filing Form IDs and Form Ds with Securities and Exchange Commission; communication with state securities examiners and making required state filings; general corporate work and corporate transactional work; and drafting domestic and foreign entity formation documents, bylaws, LLC operating agreements, organizational consents, resolutions, meeting notices, meeting minutes, stock certificates, SS-4 Applications, assumed name applications, and subscription agreements. Must have a working knowledge of filing documents; demonstrated experience in research and due diligence reviews; effective project management, checklist generation, and maintenance, planning, and organizational skills; excellent oral and written communication skills; strong ability to manage multiple tasks and changing priorities; flexibility in handling work assignments and proven attention-to-detail skills. Must have Corporate Transactional Experience with Mergers, Acquisitions, Financings, and Asset Purchases. Must be familiar with: Collecting/monitoring due diligence and closing deliveries; Preparing closing binders and closing coordination; entity Formation, Dissolution, Conversion, Restructuring, Maintenance; UCC Preparation and Filing; handling payment of outside vendor services (., federal and state entity formation Filing Fees, UCCs Filing Fees, UCC Searches). A notary public is desirable.
