Job Title: Senior Paralegal

Job Responsibilities:
The Senior Paralegal position at the law firm involves providing organizational and practice-specific assistance to attorneys in the Corporate Securities Department. The role encompasses all stages of corporate transactions, with a particular focus on the creation and filing of corporate entities, Uniform Commercial Code (UCC) filings, and securities. Key responsibilities include:

- Coordinating and managing multiple transactional closings, including private company financings, mergers and acquisitions, joint ventures, real estate acquisitions, dispositions, financings, and strategic investments.
- Assisting with drafting board and shareholder resolutions, conducting due diligence procedures, organizing due diligence materials, and researching filing requirements in various states.
- Preparing documents required to form corporations, partnerships, and limited liability companies, and assisting with entity formation and drafting corporate organizational documents.
- Assisting with the operations of corporations and corporate records maintenance, preparing foreign qualifications, dissolutions, and withdrawals.
- Preparing and filing UCCs, including continuation and termination statements, analyzing UCC search results, preparing UCC and lien summary charts, and researching filing requirements in various states.
- Preparing and filing documents and forms for ongoing corporate operations, including directors and shareholders’ resolutions and amendments to articles of incorporation.
- Drafting secretary’s certificates, bylaws, operating agreements, and resolutions.
- Preparing Beneficial Owners reports (BOIs) under the Corporate Transparency Act.
- Preparing stock option agreements and stock certificates, maintaining stock ledgers and capitalization tables.
- Maintaining entity minute books and entity ledgers for various clients.
- Preparing applications for federal employer identification numbers.
- Redlining and proofreading documents, and assisting with conforming party names and terms in agreements and other documents.
- Conducting research, performing library and online searches, and retrieving reference materials from outside libraries.
- Preparing SEC filings, including corporate and Section 16 filings, responding to the requirements of the Securities Acts of 1933 & 1934 filings, preparing Rule 144 opinion letters, and assisting with the preparation and organization of documents related to public company transactions.
- Drafting Form S-8s and having strong experience with the preparation and filing of Form Ds, along with proficiency in the Edgar Next platform.
- Maintaining timely and accurate timekeeping records.
- Serving as a mentor and providing leadership and training for mid- and entry-level paralegals and paralegal clerks.
- Assisting with other department activities as needed and performing additional duties and responsibilities as assigned.

Education and Experience Information:
The preferred qualifications for the Senior Paralegal position include a Bachelor’s Degree and Paralegal Certification, although equivalent experience is considered. Candidates should have a minimum of 10 years of corporate experience within a law firm, with demonstrated knowledge of complex issues within the Corporate & Securities practice area. Public securities experience is a strong plus but not required. Experience working with governmental agencies and service companies, including the Secretary of State, Department of Corporations, and SEC (Edgar Next) to file and retrieve documents, is beneficial. Candidates should possess knowledge of the workings of a corporation and a general understanding appropriate for a paralegal of federal and state securities laws and research in connection therewith.

Computer proficiency in Windows-based software and Microsoft Office Suite applications, including Word, PowerPoint, Excel, and Outlook, is required. Familiarity with Secretary of State databases is also beneficial.
