**Members Only** is seeking an experienced Assistant General Counsel to join their legal department. This role will play a crucial role in navigating complex legal issues surrounding the company's SaaS offerings and technology transactions. The ideal candidate will have a . degree, admission to at least one state bar, and 5+ years of legal experience with a focus on SaaS, technology transactions, and intellectual property. The base pay range for this role is $172,800 - $297,000 USD, with the potential for a bonus and/or long-term incentives.
Key Responsibilities:
- Draft and negotiate a wide range of agreements related to SaaS subscription, software licenses, technology partnerships, IP licensing, and data processing.
- Ensure compliance with applicable laws and regulations, including data privacy and security requirements.
- Provide strategic guidance on IP protection, enforcement, and commercialization strategies.
- Support the development, commercialization, and licensing of technology and IP assets.
- Stay updated on legal and industry developments relevant to the company's business.
Qualifications:
- . degree from an accredited law school and admission to at least one state bar.
- 5+ years of legal experience with a focus on SaaS, technology transactions, and intellectual property.
- Strong understanding of software licensing, open source software, cloud computing, and data privacy laws.
- Excellent drafting, negotiation, and communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Sound business judgment and strategic thinking skills.
Preferred Qualifications:
- Experience in the technology or SaaS industry, including artificial intelligence.
- Familiarity with international data privacy regulations.
- CIPP/US or other relevant privacy certifications.
Compensation and Benefits:
- Base pay range of $172,800 - $297,000 USD.
