Job Title: Counsel, Transactional

Job Responsibilities:
The Counsel, Transactional, will be an integral part of the Law and Business Environment (LBE) team, reporting directly to the leader of the Transactional Center of Expertise (COE). The primary responsibilities include negotiating, drafting, and reviewing a variety of global commercial and sourcing contracts. The Counsel will provide advice on general business matters, supervise outside counsel when necessary, and develop and improve processes. The role demands a focus on end-user satisfaction and outcomes, requiring the Counsel to work closely with senior sourcing leaders, other members of the Transactional COE and LBE, and various stakeholders. Key tasks involve:

- Reviewing, drafting, and negotiating a wide range of sourcing and other commercial contracts, including general commercial agreements such as direct sourcing, vendor, and supply agreements, consulting, professional services, staffing agreements, confidentiality and non-disclosure agreements, marketing agreements, and international agreements.
- Providing commercial counsel and advice for internal business customers and managing outside counsel.
- Assisting with process improvement for contract management and developing and maintaining legal templates, playbooks, and contracting standards.
- Offering legal support for M&A due diligence, supporting special projects, and collaborating with senior attorneys on complex legal matters.

Education and Experience Information:
Education (Minimum Required):
- Juris Doctor (JD) from an accredited law school.
- Active bar membership in at least one . jurisdiction.

Years of Experience (Minimum Required):
- 6-8 years of relevant legal experience, with some in-house experience with a manufacturing company preferred.

Preferred Education:
- JD from an ABA-accredited or top-tier law school.

Preferred Experience:
- Experience supporting in-house legal teams.
- Exposure to legal operations, M&A support, or internal compliance processes.
- Familiarity with commercial contracting in a global manufacturing company.

Skills and Minimum Experience Required:
- Experience reviewing and negotiating a variety of commercial and sourcing agreements.
- Ability to work independently, manage and prioritize projects, and meet deadlines while handling multiple tasks with minimal supervision.
- Legal research and drafting proficiency.
- Strong written and verbal communication skills.
- Ability to handle a large volume of work in a fast-paced environment.
- Highly organized with attention to detail.
- Familiarity with contract lifecycle tools or legal operations platforms is a plus.
- Experience advising a global business and negotiating sourcing contracts for a manufacturing company is strongly preferred.
- Positive, team-oriented, and collaborative attitude.

Salary Information:
The salary range for this position is $131, to $235,. Placement within this range may vary, depending on the applicant’s experience and geographic location. The company offers generous benefits, including health care, dental coverage, vision plans, 401K benefits, and commissions/incentive compensation depending on the role.
