Job Title: Sr. Consultant, Securities and Corporate Governance
Job Responsibilities:
- Perform legal work on proxy statements for annual meetings of shareholders, including the review and preparation of proxy statements and related matters such as D&O questionnaires, related party transaction analyses, and shareholder meeting materials.
- Handle SEC periodic filings, including the review and preparation of annual, quarterly, and current reports (Forms 10-K, 10-Q, 8-K), as well as Section 13 and Section 16 filings on behalf of the company and its executive officers and directors.
- Manage legal work on 1933 Act transactions including debt offerings; securities matters in connection with investments, acquisitions, and dispositions, and equity compensation plans.
- Oversee corporate governance matters, including NYSE governance and filing requirements, and assist with the preparation and review of governance documents, corporate policies, and board and committee materials.
- Collaborate with Investor Relations and Corporate Communications, including the review of earnings releases, scripts, press releases, investor communications and presentations, company website, and other public disclosures.
- Work collaboratively with Financial Reporting, Investor Relations, Corporate Communications, Executive Compensation, Treasury, and other members of the Legal Team on various matters.
- Monitor, track, and advise on potential impacts of new and proposed corporate and securities laws to ensure continued compliance.
- Stay updated on governance trends, general legal issues, and best practices, recommending changes to company programs and policies as appropriate.
Additional Position Responsibilities:
- Carry out duties in compliance with all state and federal regulations and guidelines, as well as company and site policies and procedures.
- Remain current in profession and industry trends.
- Make positive contributions through suggestions for improvement and learning new skills, procedures, and processes.
- Perform other duties as required.
Education and Experience:
- A 4 Year/Bachelor's degree or equivalent work experience (4 years of experience in lieu of Bachelor's) is required.
- A law degree from an American Bar Association-accredited school is required.
- A minimum of 5 years of legal experience aligning with the specific responsibilities for this position is required.
- Ability to read, analyze, and interpret both internal and external documents such as general media/publications, professional journals, technical procedures, governmental regulations, policies, proposals, and standard operating procedures.
- Confident and comfortable communicator with strong written and verbal communication skills.
- Strong presentation skills with the ability to influence at all levels of management through clear, informed, and logical discussions/presentations.
- Ability to effectively present information and respond to questions from diverse audiences including investment advisors, outside counsel, field management, senior leadership, and other stakeholders.
- Superior oral and written communication skills, including the ability to read different audiences and gauge the level of detail appropriate for each.
Salary Information:
The pay range for this position is $108,501 - $195,900 with anticipated pay for new hires between the minimum and midpoint of the range. The actual salary could vary above and below the listed range as permitted by applicable law. Pay is based on non-discriminatory factors including work experience, education, location, licensure requirements, proficiency, and qualifications required for the role. The base pay is just one component of the company's total rewards package for employees. In addition, the role may be eligible for the Annual Incentive Program, which is discretionary and based on the performance of the company, business unit, and individual. Other rewards may include long-term incentives, sales incentives, and the company's standard benefits package.
