Corporate Paralegal The candidate will assist with preparation of routine documents, such as incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreements. Handle basic stock and option administration, including drafting agreements, preparing reports, and maintaining capitalization records in equity management platform. Conduct blue sky and other corporate legal research. Prepare and manage corporate and securities filings. Assist on venture capital financings, debt financings, mergers, acquisitions, and public offerings. Assist with correspondence to stockholders, directors, and investors. Assist with due diligence and closing matters, including data room set-up, preparing signature packets, and creating closing volume. Handle daily corporate maintenance work. Organize client records and maintain files. Input time entry daily. Bachelor's Degree or Paralegal Certificate is required. Corporate law firm experience is preferred.
