Job Title: Paralegal, Corporate Functions
Job Responsibilities:
The role of the Paralegal, Corporate Functions, involves supporting the company in consolidating corporate entity records, improving policies and procedures related to corporate entity filings, and assisting with annual or periodic filings for corporate entities and subsidiaries. The Paralegal will also contribute to various corporate initiatives, including data privacy/protection, data security, document retention, and business development activities. Specific duties include:
- Providing support to corporate functions and corporate entity management under the supervision of attorneys.
- Collecting information and supporting filing requirements, such as annual reports, incorporations/dissolutions, and periodic registrations for corporate entities and subsidiaries, including state, SEC-related, and international corporate governance filings.
- Developing and managing a document filing system for corporate entity records for both domestic and foreign entities, ensuring records are updated and maintained.
- Assisting the International team with corporate entity management for foreign subsidiaries, including preparing, filing, and storing Board of Directors and Shareholders resolutions, and assisting with special projects like tax and business restructuring, mergers and acquisitions, and corporate integrations.
- Participating in the selection, setup, and implementation of subsidiary management software.
- Coordinating with the Legal team and other functions to support corporate entity management activities.
- Supporting registered agent relationships and inquiries.
- Streamlining processes for corporate entity document management and filings, maintaining a calendar of key dates and deliverables to ensure timely compliance.
- Assisting the Legal team and other functions with corporate-wide initiatives related to data privacy/protection, data security, and document retention.
- Compiling documents for due diligence processes in corporate development activities.
- Supporting matter management or legal billing software.
- Participating in Legal team working groups and legal operations, potentially involving contract preparations, negotiations, and the implementation of technology or processes to improve legal team efficiencies.
- Collaborating with outside legal counsel as needed in various jurisdictions.
- Working independently with attention to detail and minimal supervision, analyzing information, identifying relevant issues, and proposing viable solutions.
- Demonstrating professional ethics, integrity, and strong organizational skills to manage multiple priorities in a fast-paced environment.
Education and Experience Information:
- Minimum Requirements: A Bachelor's degree and at least 5 years of paralegal experience in a law firm.
- Preferred Requirements: A paralegal certificate, experience with corporate entity filings, knowledge of applicable state websites and agencies (., the Delaware Secretary of State) or SEC-related filings (., 10-K, 10-Q, 8-K, Forms 3, 4, 5), experience as a corporate paralegal in a law firm, experience in corporate governance for foreign subsidiaries, experience with subsidiary management software, as well as matter management and billing software, and strong collaboration and communication skills.
Salary Information:
The annual salary range for the Paralegal, Corporate Functions position is $69,000 to $95,000. Actual compensation may vary based on geographic location, work experience, education, and skill level. This salary range represents the company's good faith belief at the time of posting.
