Job Title: Technology Transactions Mid-Level Associate

Job Responsibilities:
The Technology Transactions Mid-Level Associate will be a part of the law firm's global Technology Transactions team, which is known for handling complex commercial transactions across various clients and industries. The associate will be expected to:

- Advise clients on complex commercial transactions involving technology.
- Draft and negotiate a wide range of technology, intellectual property, and data-related commercial contracts.
- Engage in strategic information technology and business process outsourcing.
- Handle ERP licensing and implementation, and software development and licensing agreements.
- Manage master service agreements and various “as a Service” (aaS) arrangements.
- Work with startup and venture-backed companies, as well as venture capital investors.
- Counsel on commercialization of technology and product development.
- Draft marketing and advertising agreements, e-commerce arrangements, and joint venture shared services agreements.
- Provide support for Mergers and Acquisitions (M&A).

Education and Experience Information:
Candidates should have 3 to 5 years of technology transactions experience at a large law firm. The role requires:

- Proven experience in drafting and negotiating complex technology, intellectual property, and data-related commercial contracts.
- Strong understanding of technology, intellectual property, and data privacy laws.
- Excellent analytical, drafting, and communication skills to articulate complex legal issues to non-legal stakeholders.
- Ability to work independently and manage multiple projects simultaneously.
- A proactive and solution-oriented mindset with strong attention to detail.
- Interest in or experience with artificial intelligence and quantum computing is considered a plus.

Candidates must reside and be barred in a jurisdiction where the law firm currently has a . office location. Ideal candidates will be barred in Georgia, Illinois, Texas, or Massachusetts, though they may reside and work in any other office location as long as they are also barred in that location. The law firm values in-person collaboration and expects the candidate to work in the office at least three business days per week.

Salary Information:
For candidates residing in Illinois, in accordance with applicable Pay Transparency Laws, the pay range for this position is $260,000 - $365,000 per year. This range may not be applicable to other locations, and an individual's actual compensation will depend on the individual's qualifications and experience.
