Job Title: Associate General Counsel - Private Wealth
Job Responsibilities:
The Associate General Counsel for Private Wealth will have a pivotal role within the company's Legal & Compliance Department, focusing specifically on the Private Wealth sector. The primary responsibilities include providing strategic legal advice on regulatory issues impacting the Private Wealth business, advising on the legal and regulatory framework, and collaborating with wealth advisors, portfolio managers, and operations to manage all aspects of client relationships. The role requires assisting with legal matters related to client account opening and maintenance.
The candidate will offer guidance on regulatory matters relevant to wealth management and asset management businesses, including compliance with the Investment Advisers Act, FINRA rules, the Investment Company Act, the Securities Act, and ERISA. The Associate General Counsel will serve as the lead attorney, working with various colleagues to implement necessary changes to ensure compliance with evolving regulations.
Further responsibilities include partnering with business, operational, and risk teams during the development of new advisory initiatives, which involves drafting and updating advisory agreements, preparing fund offering documents for private funds offered through the Private Wealth channel, and advising on technology initiatives.
The role also entails reviewing and approving marketing materials and other client communications to ensure compliance with regulatory requirements and internal policies. The Associate General Counsel will assist in reviewing and maintaining standard materials such as firm materials, pitch books, factsheets, team pages, and biographies.
The position requires effective and diplomatic management of competing priorities, providing guidance on regulatory requirements and fiduciary responsibilities to clients for portfolio management teams, sales teams, and other personnel. The Associate General Counsel will develop, implement, update, and maintain monitoring processes to ensure ongoing compliance, anticipating, managing, and reducing risks related to all aspects of the advisory business.
Education and Experience Information:
Candidates for this position should have at least eight years of experience in-house at an asset management firm or within the asset management group at a law firm with significant private wealth clients. The role demands strong writing and analytical skills, efficiency, and resourcefulness. The candidate should be capable of working independently, handling multiple and changing priorities, and meeting deadlines. Excellent organizational skills, attention to detail, strong time-management skills, and the ability to prioritize multiple tasks efficiently are essential. Effective communication skills with senior management are also required.
Salary Information:
The salary range for the Associate General Counsel - Private Wealth position is between $175,000 and $250,000. This range represents the lowest to highest salary the company believes it would pay for this role at the time of posting. The actual salary may vary based on several factors, including relevant education, qualifications, certifications, experience, skills, seniority, geographic location, business sector, performance, shift, travel requirements, sales or revenue-based metrics, market benchmarking data, any collective bargaining agreements, and business or organizational needs. The position is also eligible for a discretionary bonus, which, along with base salary and retirement contributions, forms part of the total comprehensive package. Additional benefits include paid time off, medical/dental/vision insurance, 401(k), life insurance, and other benefits for eligible employees.
