Corporate Paralegal
The candidate provides organizational and practice specific assistance to attorneys in the Corporate Securities Department in all stages of corporate transactions including related research and analysis. Coordinates and manages multiple transactional closings including, private company financings, mergers and acquisitions, joint ventures, real estate acquisitions, dispositions, financings, and strategic investments. Assists with drafting board and shareholder resolutions; assists with due diligence procedures, online and factual searches; organization of due diligence materials. Prepares all documents required to form corporations, partnerships and limited liability companies. Prepares documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and limited liability companies. Assists with entity formation; assists with drafting of corporate organizational documents; assists with operations of corporations and corporate records maintenance; and prepares foreign qualifications, dissolutions and withdrawals. Prepares and files documents and forms for ongoing corporate operations, including directors and shareholders' resolutions, and amendments to articles of incorporation. Drafts secretary's certificates, bylaws, operating agreements and resolutions. Prepares Beneficial Owners reports (BOIs) under the Corporate Transparency Act. Assists with the preparation and filing of UCCs, including continuation and termination statements; analyzes UCC search results; prepares UCC and lien summary charts; researches filing requirements in various states; and calendars expiration dates. Prepares stock option agreements and stock certificates; and maintains stock ledgers and capitalization tables. Maintains entity minute books and entity ledgers for various clients. Prepares applications for federal employer identification numbers. Conducts research and performs library and online searches. Retrieves reference materials from outside libraries that may not be readily available. Assists in real estate due diligence, including title and survey review, and the preparation of lease abstracts. Coordinates closing details with title companies and escrow agents. If required, prepares SEC filings, both corporate and Section 16, and with regard to securities offerings; respond to the requirements of the Securities Acts of 1933 & 1934 filings; prepares Rule 144 opinion letters; assists with preparation and organizations of documents related to public company transactions; and drafts Form S-8s. Serves as a mentor to and provides leadership and training for mid- and entry level paralegals and paralegal clerks. Maintains timely and accurate timekeeping records. Retains day to day responsibility for performance of general paralegal duties. Assists with other department activities as needed, and performs additional duties and responsibilities as assigned.

Qualification and Experience The candidate should preferably have a Bachelor's degree and Paralegal certification. An equivalent experience is considered. Must have 10 years of corporate experience within a law firm with demonstrated knowledge of complex issues within the Corporate & Securities practice area. Experience working with governmental agencies and service companies, including Secretary of State, Department of Corporations and SEC (principally with respect to Forms D) to file and retrieve documents is required. Public securities experience is a plus. Should be familiar with Secretary of State databases. Should also be familiar with practice specific technology (Edgar, service company sites, etc.). Computer proficiency in Windows-based software and Microsoft Office Suite applications including Word, PowerPoint, Excel and Outlook is essential. Knowledge of the workings of a corporation, and a general understanding appropriate for a paralegal, of federal and state securities laws, and research in connection therewith is a must.
