Paralegal - Corporate: Supporting the Legal Team at a Top Law Firm

Responsibilities:

- Assist lawyers with all aspects of corporate transactions, ensuring compliance with regulations
- Conduct due diligence reviews
- Coordinate transaction closings and prepare necessary documents and deliverables
- Handle corporate and securities filings, including Form D and state blue sky filings
- Prepare and file UCC financing statements
- Order and evaluate UCC, lien, litigation, and other searches
- Assist with entity formation and maintenance
- Review and assemble officer's certificates, resolutions, and other deliverables
- Conduct legal and factual research and prepare reports as needed
- Communicate with clients and outside entities regarding assigned matters
- Other duties as assigned

Experience & Qualifications:

- Bachelor's or Associates Degree, Paralegal Certificate, or equivalent experience required
- Minimum of 5 years of corporate law experience, preferably in a law firm setting
- Blue sky experience preferred
- Strong organizational skills, attention to detail, and ability to prioritize and manage multiple projects
- Excellent client service and communication skills
- Ability to meet deadlines and work well under pressure
- Strong interpersonal skills and ability to work with all levels of legal and business services team members
- Proficiency in Microsoft Office Suite, document management software, and timekeeping software
- Ability to maintain confidentiality and handle sensitive information
- Experience training and directing junior team members
- Strong analytical and problem-solving skills
- Willingness to work overtime as needed

Salary and Benefits:

- Salary range of $120,000 - $140,000 DOE (Chicago and New York locations only)

Join the team at Dentons US LLP, a leading law firm, as a Paralegal in the Corporate Practice Group. This is a full-time position based in Chicago, Kansas City, or New York (other locations may be considered on a case-by-case basis). As a key member of the legal team, you will support lawyers throughout the lifecycle of corporate transactions and ensure compliance with federal, state, and local regulations.

Your responsibilities will include assisting with due diligence reviews, coordinating transaction closings, and handling corporate and securities filings. You will also have the opportunity to work on special assignments, conduct legal and factual research, and communicate with clients and outside entities regarding assigned matters.

To be successful in this role, you must have a Bachelor's or Associates Degree, Paralegal Certificate, or equivalent experience. You should also have a minimum of 5 years of corporate law experience, preferably in a law firm setting. Experience with blue sky filings is preferred. Strong organizational skills, attention to detail, and the ability to prioritize and manage multiple projects are essential. You must also possess excellent client service and communication skills, and the ability to work well under pressure.
