Job Title: Legal & Compliance - Transactions Attorney – Private Equity Strategies, VP
Job Responsibilities:
- Lead and manage complex legal transactions, including mergers, acquisitions, structured investments, divestitures, joint ventures, and strategic partnerships.
- Draft, review, and negotiate a wide range of transactional documents, such as bid letters, term sheets, and definitive agreements.
- Advise on transaction-related legal, structuring, and regulatory matters, including antitrust, financial regulatory, and securities laws compliance.
- Liaise with operations, tax, fund, and compliance teams on various matters, including signing and closing processes, limited partner (LP) and co-investor matters.
- Collaborate with portfolio companies to provide guidance on corporate governance, regulatory matters, risk management strategies, and compliance best practices.
- Coordinate with external counsel and internal stakeholders to ensure seamless transaction execution and compliance with all applicable laws and regulations.
- Monitor and analyze regulatory developments and industry trends, including corporate governance, securities law, and market practice.
Education and Experience Information:
- A minimum of 6 years of legal experience in a law firm or corporate setting, with a strong focus on private equity and structured and minority equity investments.
- Strong understanding of the legal and regulatory landscape affecting private equity funds and portfolio companies.
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the bar in the state of practice.
- Good judgment and the ability to provide advice to senior stakeholders on complex legal and business issues.
- Excellent negotiation, communication, and interpersonal skills.
- Proven ability to work independently and manage multiple projects simultaneously in a fast-paced environment.
Salary Information:
- Expected annual base salary range: $150,000 - $250,000.
- Actual base salary within that range will be determined by several components, including but not limited to the individual's experience, skills, qualifications, and job location.
- Additional compensation: Base salary does not include other forms of compensation or benefits offered in connection with the advertised role.
