Job Title: Paralegal, Technology Companies Group
Job Responsibilities:
As a Paralegal in the Technology Companies Group at the law firm, the primary role involves supporting the delivery of quality legal services to clients. The position demands the execution of technical tasks with precision, attention to detail, organizational skills, and strong written and oral communication abilities. Key responsibilities include:
- Establishing corporate names, preparing formation documents, and coordinating their execution and filing in appropriate jurisdictions.
- Preparing entity qualification or registration forms for foreign jurisdictions.
- Preparing and maintaining minute books and capitalization tables.
- Utilizing capitalization management software to maintain clients' capitalization records.
- Assisting in drafting employment, purchase, option agreements, stock plans, and other related documents.
- Conducting blue sky research and analysis, and preparing and filing necessary state and federal forms and reports with governmental entities.
- Assisting with the liquidation and dissolution of companies and other entities.
- Preparing and gathering closing materials and attending pre-closings and closings.
- Drafting and reviewing routine transactional documents such as signature pages, officer's certificates, and correspondence, particularly for companies in the technology, energy, and financial sectors.
Education and Experience Information:
- A bachelor’s degree is required for this position.
- A paralegal certificate from an American Bar Association-approved training program is preferable but not mandatory.
- A minimum of 5 years of equivalent experience is required.
- Candidates must demonstrate strong organizational, verbal, and written communication skills.
- An aptitude to develop specific and detailed knowledge and understanding of complex issues and procedures is essential.
- Proven ability to delegate appropriate tasks to other firm resources is necessary.
- Strong time management skills and ambition to work in a dynamic, shared environment are crucial.
- Excellent computer skills, with proficiency in Microsoft Word, Excel, and any practice-related software, are required.
- An understanding of Delaware General Corporate Law, New York Business Corporate Law, and California Corporations Code is required.
- Significant substantive working knowledge of the procedures, terminology, and documents relating to the formation of a variety of corporate entities is essential.
California Requirements:
In the California offices, paralegals must meet the qualifications, including compliance with the continuing education requirements, as set forth in the California Business and Professions Code, Section 6450 et seq.
Salary Information:
The expected salary range for this position is:
- California Major Markets: $64,000 - $160,000
- New York City: $64,000 - $160,000
California Major Markets include San Francisco, Silicon Valley, Los Angeles, Orange County, and Santa Monica. All other California locations fall within the National range. The level of pay within the range will depend on various job-related factors, including qualifications, relevant experience or education, particular skills or expertise, and geography. Additional compensation may include an annual discretionary merit bonus, determined by firm and individual performance.
