Paralegal- US Corporate Law
Job Responsibilities:
- Calendar annual meetings for corporations and limited liability companies, and prepare annual meeting consents for each subsidiary corporation and limited liability company.
- Prepare and coordinate signatures of Shareholders/Board of Directors/Managers resolutions as required and as requested by Treasury, Tax, or other departments to document dividends, contributions, and election of officers/directors/managers.
- Prepare all documents required to form corporations and limited liability companies, including drafting articles of incorporation, by-laws, limited liability company agreements, and organizational consents.
- Draft and prepare documents for amendments, qualifications, withdrawals, mergers, and dissolutions for corporations and limited liability companies.
- Create and maintain electronic corporate minute books and limited liability company records books.
- Coordinate the integration of acquired legal entities into control procedures, including Secretary of State filings, changing registered agents, and updating board and officer registers.
- Support business units in generating revenue through requests for proposals by obtaining information, drafting responses, and preparing secretary certificates.
- Update the electronic database Entity Ops for . subsidiary entities with assistance from the Global Secretariat team.
- Assist Global Secretariat team and business unit individuals in obtaining documents from governmental agencies, including Apostilles and legalizations of documents for . countries.
- Advise and assist . colleagues in obtaining . entity charts from Global Secretariat team in Poland.
- Check monthly list of filings due from registered agent for any fictitious/assumed name expirations, and prepare and arrange to file renewals.
Education and Experience Information:
- At least 5 years of experience in a similar paralegal role, ideally at a large multinational corporation, is desirable.
- Strong working knowledge of . company law and corporate filings.
- Good communication, organizational, and administrative skills.
- Demonstrated ability to work both independently and collaboratively with international teams.
- Capable of managing workload, prioritizing projects, and delivering on multiple deadlines.
- Prioritizes accuracy and attention to detail.
- Understands confidentiality and discretion when handling confidential information.
- High ethical standards.
- Good technological skills and familiarity with legal entity management systems are beneficial.
Salary Information:
- The salary range for this position is $67,900 to $100,000 annually, with the actual salary varying based on the applicant’s education, experience, skills, abilities, and geographic location.
- This position is eligible for an annual discretionary bonus in addition to the base salary.
- The salary range is based on a primary work location of Chicago, IL, and may vary for applicants in different geographic locations.
