We do not need to tell you that as a very successful Arizona firm the people here do appear to work very hard and we hate to say it but we will: Many are working New York type hours. The firm also has been criticized in many respects for its lack of diversity; however, we do not believe that this is a serious problem because the firm's recent hires have all been very diverse in our opinion. The firm also receives very high scores for the treatment of associates by partners and there does appear to be a very good relationship here between associates and partners with associates feeling they are part of the mix to a great degree and respected by partners. Most associates at this firm would much rather stay with the firm than switch firms. In our book this is a good sign.
Paralegal - ECVC The candidate will under supervision, assist lawyers and clients with a variety of high-level paralegal duties. Maintain positive contact with clients and observe confidentiality. Draft and prepare formations, qualifications, conversions, dissolution documents, and board and stockholder actions. Maintain corporate records including stock ledgers, option plan administration, securities or blue sky research, and other factual research and analysis. Perform diligence production and/or review. Draft miscellaneous transaction documents. Assist with and/or manage closings of venture capital financing and/or merger and acquisition transactions. Obtain factual information and documentation from clients and third parties, including agents and governmental agencies. Handle multiple assignments, work well under pressure, and have the flexibility to assist team in meeting client demands on accelerated schedules. Keep track of matter deadlines. Keep accurate time records. Perform computer database input and retrieval. Bachelor's degree in related field or equivalent experience is required. Should have four year degree and 3+ years of experience as a corporate paralegal working with emerging growth companies, capitalization and securities for same. Paralegal degree or certificate is preferred. Experience with diligence data rooms, Google Docs, Box, Excel, DocuSign, Shareworks, and Carta software is preferred. Knowledge of Delaware corporate law, federal and state securities laws, and option plan administration. Familiarity with mergers and acquisitions, and public company reporting/compliance is a plus.
