Corporate Paralegal/Sr. Paralegal The candidate should have a bachelor's degree is required. Should have 5+ years of corporate governance/transactional experience. Should be able to form, dissolve and maintain corporate entities; coordinate closings and prepare ancillary documents and closing binders to; support transactions; proof and edit documents and agreements (. buy-sell agreements, purchase/sale agreements); prepare and file corporate and securities filings; perform corporate due diligence; prepare compliance documents, and employer-related filings with the IRS; provide analysis of stock option/shareholdings and preparation of the stock certificate. Should have liaised with clients and outside consultants; excellent organizational skills, the ability to multi-task, attention to detail, facility with computer applications, and outstanding written and verbal communication skills. Available to work overtime, as required.
