Job Overview:
A prominent national law firm is seeking a highly skilled Corporate Securities Attorney to join its Corporate Practice Group. This role involves managing regulatory filings, compliance, and corporate governance for public and private companies. The ideal candidate will have deep experience in securities matters and the ability to work independently within a collaborative environment. This is a flexible, full-time opportunity with location options across the United States.

Location:

  • Pittsburgh, PA

Duties:

  • Prepare and submit filings with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets

  • Advise clients on public company disclosure obligations and regulatory compliance

  • Draft and review periodic reports including Forms 10-K, 10-Q, 8-K, and proxy statements

  • Provide counsel on securities offerings and registration statements

  • Assist with mergers, acquisitions, and general corporate transactions

  • Support clients in corporate governance and board matters

  • Monitor and interpret changes in securities regulations and advise clients accordingly

Requirements:

  • 5–12 years of relevant securities law and corporate transactional experience

  • Demonstrated ability to manage complex regulatory filings

  • Proven track record advising public companies on compliance and disclosure issues

  • Experience working with financial regulatory bodies and stock exchanges

  • Ability to manage multiple projects and deadlines independently

Education:

  • Juris Doctor (.) from an accredited law school

Certifications:

  • Active law license in current jurisdiction

  • Eligibility for bar admission without examination, if applicable

Skills:

  • Advanced legal research and drafting capabilities

  • Strong interpersonal and client service skills

  • Excellent attention to detail and organizational proficiency

  • Ability to thrive in a fast-paced, team-oriented environment

  • High-level communication and negotiation abilities
