Job Overview:
A law firm is currently seeking a talented midlevel Private Equity Associate to join its corporate team in one of its offices in Charleston, Charlotte, Pittsburgh, or Raleigh. The successful candidate will have 4-6 years of private equity experience, with a focus on acquisitions, dispositions, and the corporate aspects of day-to-day operations involving private equity portfolio companies. This position provides a unique opportunity to work with a diverse range of national and international clients while receiving mentoring from experienced attorneys. The ideal candidate must have the ability to work flexibly and collaboratively as part of a team.

Location:

  • Pittsburgh, PA

Duties:

  • Provide legal services to clients in private equity matters, including acquisitions, dispositions, and corporate operations.
  • Draft and negotiate agreements related to private equity transactions.
  • Advise on the formation, operation, and governance of private equity portfolio companies.
  • Assist in managing transactions and due diligence processes.
  • Work on cross-border deals and interact with international clients.
  • Collaborate with other attorneys across the firm's global platform.
  • Develop and maintain strong client relationships.
  • Manage and support junior associates and other team members as required.

Requirements:

  • 4-6 years of private equity experience, particularly in corporate transactions and portfolio company operations.
  • Experience with mergers and acquisitions (M&A), private equity fund formation, and corporate governance.
  • Strong understanding of legal and business concepts relating to private equity.
  • Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
  • Excellent communication and negotiation skills.
  • Ability to work independently and as part of a team.
  • Must be flexible with working hours to accommodate the needs of clients.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admitted to practice law in the relevant state.

Skills:

  • Strong academic credentials.
  • Exceptional legal research, writing, and communication skills.
  • Ability to analyze complex legal issues and provide clear, actionable advice.
  • Experience working on private equity transactions and corporate governance matters.
  • Proven ability to manage client relationships and expectations.
