Position Title: Senior Corporate Attorney

Job Overview: A prominent law firm in Pittsburgh, PA, is seeking a skilled and experienced Senior Corporate Attorney to join its Corporate Group. This role offers significant responsibility, client engagement, and a work-life balance within a collaborative team environment. The ideal candidate will bring expertise in corporate and commercial law, with a focus on transactions, mergers, acquisitions, and business planning.

Duties

Support partners in all aspects of corporate and commercial law.
Work independently to manage various legal tasks.
Draft, negotiate, and review disclosure schedules and agreements for sales, acquisitions, mergers, and other commercial transactions.
Develop, analyze, and refine commercial documents, including master service agreements, purchase orders, and supply, and distributor agreements.
Provide counsel on new entity formations, drafting and reviewing formation documents, employment agreements, and owner buy-sell agreements.
Conduct comprehensive legal research on corporate matters.
Contribute to business development by promoting the firm's Corporate Group services to prospective and current clients.

Requirements

Active law license in Pennsylvania.
7-10 years of substantial experience in corporate law, specifically in commercial transactions, mergers and acquisitions, and business planning.
Demonstrated expertise in both written and oral communication.
Strong analytical and problem-solving skills.

Education

Juris Doctor (JD) degree from an accredited law school.

Certifications

Pennsylvania State Bar License.
