Job Overview:
A highly regarded national law firm is seeking a Senior Counsel to join its Pensions, Benefits & Investments practice. This role is ideal for an attorney with a minimum of 8 years of legal experience advising on private fund investments and/or public market transactions. The position involves high-level transactional responsibilities, including working across a wide range of asset classes for both investor and manager-side clients. This is a non-partner track opportunity offering nationwide placement and involvement in complex legal work for a sophisticated client base.

Duties:
Provide counsel on private fund investments across multiple asset classes
Advise clients on public market transactions from both investor and manager perspectives
Draft, negotiate, and review fund agreements, side letters, and investment documentation
Take ownership of significant transactional matters and manage all phases of deal execution
Collaborate with internal teams across various practice areas to deliver integrated legal solutions
Ensure compliance with fiduciary obligations and relevant regulatory frameworks
Develop and maintain strong client relationships with a focus on service and strategy
Requirements:
Minimum 8 years of legal experience in private funds, investments, benefits, or pensions law
Demonstrated experience managing complex fund and market transactions
Ability to work independently while leading multiple high-level projects
Experience advising both managers and institutional investors preferred
Education:
Juris Doctor (.) from an accredited . law school
Strong academic record preferred
Certifications:
Admission to the bar in the state where the candidate will be practicing
Skills:
Deep knowledge of fund structures, investment agreements, and asset class regulations
Excellent drafting and negotiation capabilities
Strong analytical and strategic thinking skills
Effective verbal and written communication abilities
Ability to manage client expectations and maintain professional relationships
Organized, detail-oriented, and able to prioritize competing responsibilities
