Job Responsibilities
The Corporate Counsel will provide legal representation and support for various legal and banking-related topics under the guidance of the SVP, Associate General Counsel of the company. The primary focus will be on supporting the Lending departments and other transactions and acting as a strategic business partner to address the needs of the business units. Responsibilities include:
- Offering day-to-day legal advice to management and business units, including community and specialty lending, loan operations, loan servicing, portfolio management, and credit.
- Reviewing, drafting, and negotiating loan documents such as loan and security agreements, promissory notes, deeds of trust, subordination agreements, and guarantees.
- Reviewing, drafting, and negotiating vendor contracts and non-disclosure agreements, and creating/maintaining standardized forms.
- Analyzing entity formation and other organizational documents and advising on organizational and officer authority-related issues.
- Overseeing and managing outside counsel.
- Collaborating across business units and with management to identify and mitigate risk.
- Developing and implementing training for business units to enhance awareness and contextual perspective.
- Upholding organizational values and ensuring adherence to EEO policy and cultural sensitivity.
- Ensuring compliance with occupational safety and health standards as per OSHA Act of 1970.
- Performing other duties and projects as assigned.
Education and Experience Information
- Juris Doctorate (.) from an ABA-accredited law school is required.
- Two (2) to five (5) years of legal experience in vendor contracts, contract negotiations, and/or lending transactions.
- Active member of the State Bar of California is required.
- Knowledge of lending and commercial contracts is preferred.
- Understanding of the interplay between legal and business risk is essential.
- Familiarity with regulatory concerns such as Privacy/GLBA, TISA, EFTA, ECOA, TILA, RESPA, TCPA, FCRA, SCRA, UDAAP is preferred but not required.
Salary Information
The full-time base salary range for this position is $84, - $125, per year. The final salary offered will be determined based on the review of education, industry experience, training, knowledge, skills, abilities, and alignment with market data and other factors.
