Corporate Paralegal The candidate assists partners and associates while participating as a team member to provide integral support for various finance and corporate transactions, including financing, mergers and acquisitions, asset purchases and public offerings. Drafts certificates and other closing documentation. Orders and reviews UCC and similar search requests. Orders and reviews corporate filings. Prepares loan and security document disclosure schedules. Coordinates various closing activities, including preparing signature pages and assisting with various client communications and logistics. Coordinates post-closing follow-up with clients and counterparties. Assists with client reporting requirements. Prepares and distributes closing folders, binders and CD-ROMS. Prepares collateral and lien search summary charts. Prepares and files UCC Financing Statements (and certain real estate security documentation). Assists, from time to time, with general corporate and energy transactional closings, filings and other matters. Bachelor's degree is required. Should preferably have 4-6 years of Paralegal experience in corporate transactions. Paralegal Certificate is preferred.
