**Members Only** is a leading financial technology company that provides innovative software products and services to power some of the world's largest Fintechs. We are currently seeking an Assistant General Counsel with experience in IP and technology transactions to join our legal team. This role offers an opportunity to work in a collaborative and impactful environment, with a competitive compensation package.

Key responsibilities:

- Draft and negotiate a wide range of agreements including SaaS subscription agreements, software licenses, technology partnerships, IP licensing, and data processing agreements.
- Ensure compliance with data privacy and security regulations such as GDPR and CCPA.
- Provide strategic guidance on IP protection, enforcement, and commercialization strategies.
- Advise on copyright, trademark, trade secret, and patent matters.
- Support the development, commercialization, and licensing of technology and IP assets.
- Stay updated on legal and industry developments relevant to the company's business.

Qualifications and experience:

- . degree from an accredited law school and admission to at least one state bar.
- 5+ years of legal experience with a focus on SaaS, technology transactions, and intellectual property.
- Strong understanding of software licensing, open source software, cloud computing, and data privacy laws.
- Excellent drafting, negotiation, and communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Sound business judgment and strategic thinking skills.

Preferred qualifications:

- Experience in the technology or SaaS industry, including artificial intelligence.
- Familiarity with international data privacy regulations.
- CIPP/US or other relevant privacy certifications.

Compensation and benefits:

- Base pay range of $172,800 - $297,000 USD.
- Bonus and/or long term incentives may also be available.
- Competitive benefits package.
